Terms of Service

The terms governing your use of the LogRite platform.

These Terms of Service ("Terms") govern your access to and use of LogRite's logging and observability platform. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using LogRite's services ("Services"), you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to that organization.

2. Description of Services

LogRite provides a comprehensive logging and observability platform that includes:

  • Code logging tools for logging quality assurance
  • Log ingestion, storage, and retention services
  • Real-time log analysis and search capabilities
  • AI-powered intelligent analysis and anomaly detection
  • Dashboards, alerting, and monitoring tools
  • Compliance and security features
  • API access and integrations

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Be responsible for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send, store, or process malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Reverse engineer, decompile, or disassemble our software
  • Use our Services to compete with LogRite or develop competing products
  • Exceed rate limits or engage in activities that impose unreasonable load on our infrastructure
  • Store or transmit content that is illegal, harmful, or violates others' rights
  • Use automated systems to scrape or extract data from our Services
  • Resell, sublicense, or transfer your account to any third party without our consent

5. Customer Data

5.1 Your Data

You retain all rights, title, and interest in the log data and other content you submit to our Services ("Customer Data"). By using our Services, you grant us a limited license to process, store, and analyze your Customer Data solely to provide and improve our Services.

5.2 Data Responsibility

You are solely responsible for:

  • The accuracy, quality, and legality of your Customer Data
  • Ensuring you have the right to submit Customer Data to our Services
  • Implementing appropriate data masking or filtering for sensitive information
  • Complying with applicable data protection laws regarding your Customer Data
  • Maintaining backups of your critical data

5.3 Data Processing

We process your Customer Data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect your data, as described in our Security documentation.

6. Fees and Payment

6.1 Subscription Fees

You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis, as selected during signup. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6.2 Usage-Based Charges

Certain features may incur usage-based charges (e.g., log ingestion volume, data retention, API calls). You will be notified of applicable usage rates, and charges will be billed monthly in arrears. You are responsible for monitoring your usage and associated costs.

6.3 Price Changes

We may change our fees at any time by providing at least 30 days' notice. Continued use of our Services after the price change becomes effective constitutes your agreement to pay the modified fees.

6.4 Payment Terms

You must provide valid payment information and authorize us to charge your payment method. If payment fails, we may suspend or terminate your access to the Services. You are responsible for all taxes associated with your use of our Services, except for taxes based on our net income.

7. Service Level Agreement

Our Service Level Agreement (SLA) is available in your subscription plan documentation. The SLA specifies our uptime commitments and remedies for service unavailability. The SLA is incorporated into these Terms by reference.

8. Intellectual Property

8.1 LogRite's Rights

LogRite and its licensors own all rights, title, and interest in the Services, including all software, technologies, content, trademarks, and intellectual property. These Terms do not grant you any ownership rights in our Services.

8.2 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to you.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our Services will perform substantially in accordance with our documentation. This warranty does not apply to issues caused by misuse, unauthorized modifications, or factors beyond our reasonable control.

9.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any information obtained through the Services

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT SHALL LOGRITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
  • OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless LogRite and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any rights of another party.

12. Term and Termination

12.1 Term

These Terms commence when you first access our Services and continue until terminated by either party.

12.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Termination does not relieve you of your obligation to pay any outstanding fees.

12.3 Termination by Us

We may suspend or terminate your access to our Services:

  • If you violate these Terms or our Acceptable Use Policy
  • If your account is inactive for an extended period
  • If payment is past due for more than 30 days
  • If required by law or to protect our Services or other users
  • Upon 30 days' notice for convenience

12.4 Effect of Termination

Upon termination: (a) your right to access the Services will cease; (b) we will delete your Customer Data within 90 days unless legally required to retain it; (c) you remain liable for all fees incurred prior to termination; and (d) sections of these Terms that by their nature should survive will continue to apply.

13. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully known prior to disclosure; (c) is independently developed; or (d) is rightfully obtained from a third party.

14. Compliance and Export Controls

You agree to comply with all applicable laws and regulations, including export control laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or on any U.S. government list of prohibited or restricted parties.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@logrite.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration

Any dispute arising from these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in San Francisco, California. Judgment on the arbitration award may be entered in any court having jurisdiction.

15.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and LogRite individually. You waive any right to participate in a class action, class arbitration, or representative action.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding related to these Terms shall be brought exclusively in the federal or state courts located in San Francisco, California.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and LogRite regarding our Services.

17.2 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through our Services. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17.5 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, or network failures.
